1. Introduction

Welcome to Niyati (“Platform”, “we”, “us”, “our”). Niyati is an AI-powered platform that provides Vedic astrology readings and facilitates live consultations with astrology and wellness practitioners. By accessing or using Niyati through our website or mobile application, you (“User”, “you”, “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, please do not use the Platform.

2. Eligibility

You must be at least 18 years of age to use Niyati. By using the Platform, you represent and warrant that you are 18 years or older and have the legal capacity to enter into these Terms.

3. Nature of Services

Niyati provides the following services:

• AI-generated Vedic astrology readings and interpretations
• Facilitation of live consultations with astrology and wellness practitioners

Important Disclaimers

• Niyati's AI-generated astrology readings are provided for informational and educational purposes only.
• Niyati does NOT provide medical advice, psychological counseling, psychiatric treatment, or any form of licensed healthcare. Our services are not a substitute for professional medical, psychological, or psychiatric care.
• You should always consult a qualified professional before making any decisions based on content provided by the Platform, particularly those related to health, financial, and legal matters.
• If you are experiencing a medical or mental health emergency, please contact your local emergency services or a licensed healthcare professional immediately.
• Astrological readings are interpretive in nature and should not be relied upon as the sole basis for making life decisions.
• Live consultations are facilitated through the Platform but the practitioners are independent and not employees of Niyati. Niyati does not guarantee the accuracy, quality, or outcome of any consultation.

4. Accounts and Registration

To use Niyati, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at support@niyati.app if you suspect unauthorized access.

5. Pricing and Payment

• Session pricing is as displayed on the Platform at the time of purchase. Niyati reserves the right to modify pricing at any time, with changes effective for sessions purchased after the update.
• All prices displayed are exclusive of applicable taxes. GST or other applicable taxes will be charged additionally as per prevailing Indian tax law.
• Payment must be made in advance before a session begins.
• We use third-party payment processors to handle transactions. By making a payment, you agree to the terms and privacy policies of the applicable payment processor.

6. Refund and Cancellation Policy

• If a session could not be initiated or completed due to a technical failure on Niyati's end, you will receive a full refund or a complimentary replacement session, at our discretion.
• If you voluntarily end a session before its full duration, no refund will be provided.
• For live consultations, cancellations made at least 8 hours before the scheduled time will receive a full refund. Cancellations made within 8 hours of the scheduled time are non-refundable.
• Refunds will be processed within 7–10 business days to the original payment method.

7. User Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law
• Attempt to reverse-engineer, decompile, or extract the source code or underlying algorithms of Niyati's AI systems
• Harass, abuse, or harm other users or practitioners during live consultations
• Use automated bots, scrapers, or similar tools to access the Platform
• Misrepresent your identity or impersonate another person
• Share your account credentials with third parties
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to circumvent payment mechanisms or exploit pricing errors

8. Intellectual Property

All content, trademarks, logos, AI models, algorithms, software, and design elements on Niyati are the exclusive property of Niyati and its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes. You may not copy, reproduce, distribute, modify, or create derivative works from any content on the Platform without our prior written consent.

9. User Content

By providing any information, birth details, personal data, or other content (“User Content”) to Niyati, you grant us a limited, non-exclusive license to use such content solely for the purpose of delivering our services to you. We may share your User Content with trusted third-party service providers (such as payment processors, communication platforms, and analytics tools) strictly for the purpose of operating and improving the Platform. These service providers are contractually bound to use your data only for the purposes we specify and in accordance with applicable data protection laws. We will not sell your User Content to third parties or share it for independent marketing purposes unrelated to Niyati. Refer to our Privacy Policy for detailed information on how we handle your data.

10. AI-Generated Content Disclaimer

Niyati uses artificial intelligence models to generate astrology readings. You acknowledge and agree that:

• AI-generated content may contain inaccuracies, errors, or interpretations that may not apply to your specific circumstances.
• AI outputs are probabilistic and not deterministic — the same inputs may produce different outputs at different times.
• Niyati does not guarantee the accuracy, completeness, or reliability of any AI-generated content.
• You should always consult a qualified professional before acting on any AI-generated content, especially in matters related to health, finance, or legal decisions.
• You assume full responsibility for any decisions made based on AI-generated content.
• AI models are periodically updated, which may change the nature or quality of outputs.

11. Live Consultations

• Live consultations are facilitated by Niyati but conducted by independent practitioners.
• Niyati is not responsible for the advice, opinions, or recommendations provided by practitioners during live consultations.
• Practitioners are not employees, agents, or representatives of Niyati. Any engagement with a practitioner is at your own risk.
• Niyati reserves the right to remove practitioners from the Platform who violate our policies or receive consistent negative feedback.

12. Privacy and Data Protection

Your use of Niyati is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information, including sensitive data such as birth details and consultation records. We comply with applicable Indian data protection laws, including the Digital Personal Data Protection Act, 2023 (DPDPA) as applicable.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

• Niyati, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
• Our total aggregate liability for any claim arising from or related to these Terms or the Platform shall not exceed the amount you paid to Niyati in the 3 months preceding the claim.
• Niyati shall not be liable for any harm, loss, or damage resulting from reliance on AI-generated astrology readings or practitioner advice.

14. Indemnification

You agree to indemnify, defend, and hold harmless Niyati, its directors, officers, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

15. Third-Party Services

Niyati may integrate with or link to third-party services (payment gateways, communication tools, analytics providers). We are not responsible for the content, privacy practices, or availability of third-party services. Your use of such services is governed by their respective terms and policies.

16. Service Availability and Modifications

• Niyati is provided on an “as is” and “as available” basis.
• We do not guarantee uninterrupted, error-free, or secure access to the Platform.
• We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice.
• We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the updated Terms. Material changes will be communicated via email or in-app notification.

17. Termination

We may suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or for any other reason we deem appropriate. Upon termination, your right to use the Platform ceases immediately. Any outstanding payments remain due. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will continue to apply.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India. Before initiating formal legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.
